Draft — not reviewed by a lawyer
This is a starting point written to match what the software actually does. It is not legal advice and is not fit to publish as-is. Have a qualified lawyer in your jurisdiction review it, fill in every [[ PLACEHOLDER ]], then delete app/legal/draft-notice.tsx and its imports.
Terms of Service
Last updated: [[ EFFECTIVE DATE ]]. These terms are between you and [[ LEGAL ENTITY NAME ]] (“we”, “us”), operator of ContractLens (the “Service”). By creating an account you agree to them.
1. ContractLens is not a law firm
This is the most important term here. ContractLens uses an AI system to produce informational analysis of documents you provide. It does not provide legal advice, it is not a substitute for a qualified lawyer, and using it does not create an attorney–client relationship with us or anyone else.
The analysis can be incomplete or wrong. It may miss a material risk, or flag something that is standard and harmless in your industry. Do not rely on it as the sole basis for signing, refusing, or negotiating any agreement. For anything high-value, unusual, or consequential, have a lawyer review the document.
2. Accounts
You need an account to use the Service. Authentication is handled by Clerk. You are responsible for activity under your account and for keeping your credentials secure. You must be at least 18 and able to form a binding contract.
3. Plans and billing
- Free: one review, in total, with no card required.
- Pro: $9 per month, up to 50 reviews per billing period.
- Agency: $29 per month, up to 500 reviews per billing period.
Payments are processed by Stripe; we never receive or store your card details. Paid plans renew automatically each month until cancelled. You can cancel or change plan at any time from the billing portal, and cancellation takes effect at the end of the period you have already paid for.
Quota resets each billing period and unused reviews do not carry over. A review that fails for technical reasons does not count against your quota. Deleting a review does not restore quota, because the analysis was already performed.
[[ REFUND POLICY — required by Stripe, and jurisdiction-specific. ]]
4. Acceptable use
You agree not to:
- Upload documents you have no right to share, including material covered by someone else's confidentiality obligations.
- Use the Service to provide legal services to third parties in a way that would constitute unauthorised practice of law.
- Attempt to circumvent quota, rate limits, or access controls, including by creating multiple accounts to obtain additional free reviews.
- Resell, scrape, or systematically extract the Service or its output.
5. Your content
You keep all rights to the documents you upload. You grant us only the licence needed to operate the Service: to store your documents, transmit them to our AI provider for analysis, and return the results to you. We do not use your documents to train models. See the Privacy Policy for how long we keep them and who processes them.
6. Availability
The Service is provided as-is. We do not guarantee uptime, and we depend on third parties (our AI provider, Stripe, Clerk, our hosting and database providers) whose outages will affect us. We may change or discontinue features, and will give reasonable notice of material changes that affect paid plans.
7. Disclaimers and limitation of liability
[[ TO BE DRAFTED BY COUNSEL. This section carries the real risk in an AI legal-analysis product and its enforceability depends entirely on your jurisdiction. Consumer protection law in many places limits how far liability can be excluded, and an unenforceable clause may be worse than a narrower one that holds. Do not copy boilerplate here. ]]
8. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate an account that breaches these terms. On termination your right to use the Service ends; our handling of your data after that is described in the Privacy Policy.
9. Changes
We may update these terms. For material changes we will give notice by email or in the app before they take effect. Continuing to use the Service after that constitutes acceptance.
10. Governing law
These terms are governed by the laws of [[ JURISDICTION ]], and disputes will be resolved in the courts of [[ VENUE ]]. [[ Consider whether arbitration or a class-action waiver is appropriate and enforceable where your customers are — counsel to advise. ]]
